Terms of Service

What LocalGain does for your business, what it costs, what we promise, and what we do not.

Status: in legal review before launch

The positions below are approved by Your Marketing BFF and describe how LocalGain is actually run today. They are still with our attorney for final wording, and the sections marked Still with our attorney are not settled and are not binding on you or on us. LocalGain is invite-only, and your Founding Member agreement is the one you made directly with Your Marketing BFF.

1. Who you are agreeing with

LocalGain is a software product of Your Marketing BFF (“YMBFF”, “we”, “us”). Your Marketing BFF is the company you are contracting with; LocalGain is the product you log in to. In these terms, “you” means the business that holds the LocalGain account.

2. What LocalGain does

LocalGain is a local visibility service. It combines:

  • monitoring of your Google Business Profile and your Google Local Pack keyword rankings
  • analysis of what is holding your local visibility back
  • specific recommendations, prioritised for your business
  • content assistance — review replies, profile wording and post copy, written for work that has already been decided
  • included implementation work carried out for you by YMBFF staff

The included work has a defined size: three new included actions per monthly service cycle. That is a fixed allowance, not a queue that refills whenever something is finished. Work that is still open at the end of a cycle carries over to the next one.

We may also identify website work — we call these opportunities. Those are never part of the three included actions. If you want one done, it is quoted and agreed separately.

3. What we promise, and what we do not

We promise the work: the monitoring, the analysis, the recommendations, the content assistance and the included implementation described above, carried out with reasonable care and skill.

We do not guarantee rankings, traffic, calls, leads, revenue or any other business outcome.

That is not a hedge, it is how local search works. Where you rank is decided by Google, and it moves with Google’s algorithm and policy changes, what your competitors do, reviews, seasonality and plain market conditions. None of that is within our control, and anyone who promises you a position is guessing.

What we are accountable for is doing the work, doing it well, and showing you honestly what happened — including when a ranking moved the wrong way.

4. How rankings are measured

Every ranking in LocalGain is a Google Local Pack position measured from one consistent LocalGain measurement point for your business, so that one check can be fairly compared with the next.

Real Google Maps results vary with where the searcher is standing. A LocalGain rank is therefore a consistent indicator of movement over time — it is not a claim about your position across an entire city or service area, and we will never present it as one.

5. Your Founding Member plan

  • $299 per month.
  • A 6-month initial commitment, then month to month.
  • Your Founding Member price stays locked for as long as the qualifying subscription stays continuously active. If it lapses, the Founding Member rate goes with it.
  • Cancellation takes effect at the end of the commitment or billing period it applies to.
  • Fees already paid are generally not refundable, except where the law requires a refund or we have expressly agreed one with you in writing.

Payment is handled directly by Your Marketing BFF through our existing recurring payment arrangement. LocalGain itself takes no payments and holds no card details — there is no billing or subscription screen in the app, by design.

To cancel, tell your YMBFF contact in writing. We will confirm the date it takes effect.

6. Access to your Google Business Profile

So that we can do the included work, you add a YMBFF Google account as a Manager on your Google Business Profile. You keep ownership of the profile, and you can remove that access at any time — though if you do, we can no longer carry out the work for you.

Where something we publish speaks in your business’s voice — a review reply, profile wording, a post — you approve the exact wording before it goes out. We do not publish those without your approval.

7. Your responsibilities

To keep the service and your data safe, you agree to:

  • keep your login credentials confidential, and not share them with anyone who is not authorised
  • control who at your business has access, and tell us when someone should no longer have it
  • tell us promptly if you suspect an account has been compromised
  • use LocalGain lawfully, and not for anything that breaks Google policy
  • not attempt to bypass or test security controls, reach another customer's data, scrape, reverse engineer, or interfere with the service or the systems it runs on

Keeping LocalGain secure is our job — we are not shifting that onto you. The list above is the part only you can do.

8. What not to put into LocalGain

LocalGain is a local marketing platform. It is not a patient-data system, and it is not a place to store financial or identity records.

Please do not enter into ordinary LocalGain fields — including keywords, notes, messages to us and content you send for review:

  • patient records, health records or other protected health information
  • payment card numbers or financial account details
  • Social Security numbers or other government identity numbers
  • passwords or access credentials for any system
  • any other sensitive personal information the service does not need

We do not claim HIPAA compliance, and we do not hold a security or privacy certification. If your business handles that kind of data, it needs to stay in the system built for it.

If we find something of this kind in your account, we may remove it and will tell you that we did.

9. Your information stays yours

You keep ownership of the content and information you give us. You grant Your Marketing BFF the rights reasonably necessary to host, process, analyse and use it in order to run LocalGain for you and improve it for you.

We will not:

  • sell your personal information or your business data for advertising
  • use one customer's private data for the benefit of another customer

We may use aggregated or de-identified information — how reliable the service is, how it performs, what it costs us to run, which features earn their keep — where it cannot reasonably be used to identify you, your business or any individual.

The Privacy Policy explains what we store and how long we keep it.

10. Availability and changes to the service

We may maintain, update, modify or temporarily suspend parts of LocalGain for legitimate reasons: security, maintenance, reliability, legal obligations, or a change at one of the platforms and providers the service depends on.

We do not guarantee that LocalGain will be uninterrupted or error-free.

LocalGain depends on third-party platforms — Google chief among them. Changes to their APIs, policies, data or functionality are outside our control, and can change what the service is able to show or do.

If we make a change that substantially reduces the core paid service, we will tell you.

This section lets us run and maintain the service. It is not a right to quietly stop providing what you are paying for.

11. Ending the agreement

Either of us can end the agreement. Your cancellation takes effect at the end of the commitment or billing period it applies to, as set out in section 5.

We may suspend or end an account where it is being used unlawfully, where it puts the service or other customers at risk, or where fees go unpaid.

After cancellation, what happens to your data is set out in the Privacy Policy: a 30-day retention window, and then deletion of your operational data.

12. The clauses still being drafted

The following are with our attorney. We are showing you our intent now rather than hiding the gap — but none of it is settled wording, and none of it binds you today.

Limitation of liability

Our intent is reasonable protection against indirect and consequential losses, and a reasonable overall limit on liability. We are not trying to excuse Your Marketing BFF from responsibility for its own conduct. The cap, how it is calculated, the period it looks back over and the exceptions to it are all unresolved.

Indemnification

Our intent is that you remain responsible for content or instructions you give us that are unlawful, that infringe someone else’s rights, or that are used unlawfully. The scope, wording, exclusions and remedies are unresolved.

Governing law, venue and disputes

Your Marketing BFF operates in Washington and Arizona and serves customers across the United States. Which state’s law governs, where disputes are heard, whether arbitration applies, class-action waiver, attorney-fee rules and the detailed dispute procedure are all unresolved and will be settled on legal advice.
